Acceptance

By using Produce Trade IQ (producetradeiq.com), you agree to these terms. If you don't agree, please don't use the service. We may update these terms from time to time — we'll notify you by email if we make significant changes.

Service Description

Produce Trade IQ is a US produce import intelligence platform. We aggregate data from official government sources (Census Bureau, USDA, CBP) and present it in an accessible format including trade statistics, FOB prices, and company profiles.

Account Registration

You need an account to access the platform. You can sign up with Google, LinkedIn, or email/password. You are responsible for keeping your account credentials secure. One account per person — do not share your login credentials. Sharing account credentials with others may result in immediate account termination without refund.

Free and Pro Plans

• Free plan — access to Trade Analytics (import trends, seasonal patterns, year-over-year comparisons), USDA Prices (daily Shipping Point and Terminal Market wholesale prices, refreshed daily across 30+ US markets), and Market Leaders (top importers and exporters). Shipment Records are limited to a 5-row preview. Competitor Intel company profiles require Pro. Free forever.
• Pro plan — everything in Free plus full Shipment Records search, Competitor Intel company profiles with supplier/buyer mapping, AI-powered company summaries, and priority support. $99/month.

Prohibited Uses

You may not:

• Scrape, crawl, or use automated tools to extract data from the platform
• Resell, redistribute, or republish our data or reports
• Use bots, scripts, or automated access methods
• Attempt to access other users' accounts or data
• Use the service for any illegal purpose

Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms of Service, including but not limited to: unauthorized data scraping, credential sharing, reselling data, or any other prohibited use. In the event of termination for Terms of Service violations, no refund will be issued for the current billing period.

Data Usage

The data on Produce Trade IQ is for your internal business use only. You may use insights from the platform to inform your business decisions, but you may not redistribute the raw data, create derivative data products, or share your account access with third parties.

Payment Terms

• Pro plan is billed monthly at $99/month
• You can cancel anytime — your access continues through the end of the current billing period
• No refunds on the current billing period after cancellation
• Payments are processed by Stripe

Intellectual Property

The underlying trade data comes from US government sources, which are public domain. Our compilation, analysis, presentation, and software are proprietary and protected by copyright. You may not copy or reproduce the platform or its design.

Disclaimers

• Government trade data has a 2-3 month publication lag. We show the most recent data available.
• FOB prices are from USDA daily reports and may not reflect every transaction in the market.
• Nothing on this platform constitutes financial, investment, or legal advice.
• We provide the service "as is" and do not guarantee 100% uptime or data accuracy.

Limitation of Liability

Produce Trade IQ is not liable for any business decisions you make based on data from this platform. Our total liability is limited to the amount you paid us in the 12 months before any claim. We are not liable for indirect, incidental, or consequential damages.

Private Photo-Based Digital QC Report

This section applies to the Private Photo-Based Digital QC Report feature offered through Produce Trade IQ. In this section, "Produce Trade IQ," "we," "us," and "our" refer to Talavera Fresh LLC, operating the Produce Trade IQ platform.

Nature of the Report

The Private Photo-Based Digital QC Report, including any Photo-Based QC Score, PTIQ Visual Grade, Internal QC Recommendation, visible-condition observations, images, summaries, labels, or related output, is a private, non-official, photo-based quality-control opinion and internal triage tool.

The Report is based only on photographs, lot details, and other information submitted by the user. The Report reflects only visible external conditions that may appear in the submitted photographs. It does not determine actual lot condition, internal condition, firmness, smell, temperature, maturity, representative sampling, transit condition, contract compliance, or any official defect percentage.

Not an Inspection, Grade, Certificate, or PACA Determination

The Report is not a USDA, AMS, Federal-State, state, government, or official inspection. It is not an inspection certificate, condition certificate, grade certificate, USDA grade, official grade determination, PACA determination, good-delivery determination, legal acceptance, legal rejection, claim determination, price-adjustment determination, or contract-compliance determination.

Produce Trade IQ does not perform physical inspections, official inspections, USDA inspections, AMS inspections, Federal-State inspections, sampling, cutting, pressure testing, Brix testing, temperature verification, condition certification, grade certification, or legal evaluation of any lot.

Private Photo-Based Opinion Only

Any Photo-Based QC Score, PTIQ Visual Grade, Internal QC Recommendation, or visible-condition observation is a private, non-official, photo-based opinion for the user's internal business triage only.

The PTIQ Visual Grade is proprietary to Produce Trade IQ and is not a USDA grade or official grade. The Internal QC Recommendation is an internal triage suggestion only and is not a legal or commercial acceptance or rejection decision.

User Responsibility for Commercial Decisions

The user is solely responsible for all commercial, contractual, quality, condition, acceptance, rejection, pricing, discount, claim, insurance, transportation, liquidation, PACA, and legal decisions relating to any produce lot.

The Report is one informational input only. It does not direct, determine, authorize, or make any decision for the user. The user must exercise independent business judgment and assumes all risk associated with any decision made in connection with the Report.

For any binding commercial, contractual, quality, condition, grade, rejection, claim, price-adjustment, good-delivery, PACA, or legal decision, the user should promptly request an official USDA/AMS or Federal-State inspection and consult qualified produce-trade counsel or other appropriate professionals.

Prohibited Use and Misrepresentation

The user may not present, describe, distribute, quote, excerpt, market, rely on, or allow any third party to treat the Report as any of the following: an official inspection; a USDA, AMS, Federal-State, state, or government inspection; an inspection certificate; a condition certificate; a USDA grade or official grade determination; a PACA determination; a good-delivery determination; a legal acceptance or rejection decision; a contract-compliance determination; a legal opinion; a substitute for official inspection, physical inspection, sampling, or qualified legal advice.

If the user shares the Report with any buyer, seller, broker, grower, shipper, receiver, carrier, insurer, attorney, government agency, PACA personnel, court, arbitrator, or other third party, the user must share the complete Report, including all disclaimers, limitations, footers, and explanatory language. The user may not crop, alter, redact, excerpt, summarize, or present the Report in a misleading way.

No Third-Party Reliance

The Report is provided only to the user who generated it and only for that user's internal business triage. No third party is an intended beneficiary of the Report. No third party may rely on the Report for any commercial, contractual, legal, PACA, claim, acceptance, rejection, pricing, condition, quality, grade, or good-delivery decision.

No Agency Relationship

Use of the Report feature does not create any agency, partnership, joint venture, fiduciary, employment, representative, broker, commission merchant, dealer, inspector, claims-adjuster, or advisory relationship between the user and Produce Trade IQ.

Produce Trade IQ does not buy, sell, broker, negotiate, consign, transport, inspect, certify, accept, reject, settle, adjust, or resolve produce transactions, claims, disputes, or inspections on behalf of the user.

No Legal Advice

The Report and related content are provided for informational and internal business triage purposes only and do not constitute legal advice. Nothing in the Report or the platform creates an attorney-client relationship. Users should consult qualified counsel regarding PACA rights, contract rights, rejection, claims, disputes, or other legal matters.

No Warranty of Accuracy

The Report is generated from user-submitted photos and information and is provided "as is" and "as available," without warranties of any kind, express or implied.

Produce Trade IQ does not warrant that any Report, score, visual grade, recommendation, observation, image interpretation, label, or output is accurate, complete, reliable, current, representative, fit for a particular purpose, or suitable for any commercial, contractual, legal, PACA, quality, condition, claim, acceptance, rejection, or pricing decision.

Photo-based analysis has inherent limitations. Photos may omit relevant conditions, may show only a top layer or limited sample, may fail to reveal internal condition, firmness, odor, temperature, maturity, decay extent, bruising depth, carton condition, transit condition, or lower-layer defects, and may not constitute representative sampling.

No-Storage Model and User Responsibility to Retain Copy

Produce Trade IQ does not store the submitted photos, submitted lot data, generated QC report text, Photo-Based QC Score, PTIQ Visual Grade, Internal QC Recommendation, or generated PDF after the Report is delivered to the user.

The Report is generated on demand and delivered to the user. The user is solely responsible for downloading and retaining the user's own copy. Because Produce Trade IQ does not store the Report content, Produce Trade IQ cannot later retrieve, verify, authenticate, reproduce, reissue, or attest to any Report, its contents, or the inputs used to generate it.

Limited operational, authentication, security, analytics, and legal-acceptance records may be retained as described in the Privacy Policy, including records showing that the user accepted the applicable QC Report terms.

No Editing of Generated Report

The user may not alter, edit, redact, crop, modify, or manipulate the generated Report and then present, share, or rely on the altered version as a Produce Trade IQ Report.

Third-Party AI Processing

The Report feature may transmit user-submitted photos, lot details, and related context to third-party AI service providers for processing. Third-party processing and retention are described in the Privacy Policy and may be governed by the applicable provider's terms and data-retention policies.

Indemnification for Misuse

The user agrees to defend, indemnify, and hold harmless Produce Trade IQ, its affiliates, officers, employees, contractors, suppliers, and service providers from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: the user's misuse of the Report; the user's presentation of the Report as an official inspection, USDA grade, PACA determination, good-delivery determination, legal rejection, legal acceptance, condition certificate, or contract-compliance determination; the user's alteration, editing, excerpting, cropping, redaction, or misleading use of the Report; any third-party reliance caused by the user's sharing or presentation of the Report; any commercial, contractual, legal, PACA, quality, condition, acceptance, rejection, pricing, claim, or dispute decision made by the user or any third party in connection with the Report.

Feature-Specific Limitation of Liability

To the maximum extent permitted by law, Produce Trade IQ will not be liable for any indirect, incidental, special, consequential, punitive, exemplary, or commercial damages arising out of or relating to the Report, including lost profits, lost revenue, lost goodwill, rejected loads, downgraded loads, spoilage, price adjustments, PACA claims, third-party claims, contract disputes, or other business losses.

To the maximum extent permitted by law, Produce Trade IQ's total aggregate liability arising out of or relating to the Report feature will not exceed the greater of: the fees paid by the user to Produce Trade IQ for access to the platform during the one month immediately preceding the event giving rise to the claim; or one hundred dollars ($100).

This feature-specific limitation applies notwithstanding any broader limitation period or cap elsewhere in these Terms, unless prohibited by applicable law.

Click-Through Acceptance Required

Before generating a Report, the user must affirmatively accept the then-current QC Report terms and acknowledgment. Produce Trade IQ may record the user's account ID, timestamp, IP address or device information where appropriate, and terms version accepted. A Report may not be generated unless the user has accepted the current version of the QC Report terms.

Produce Trade IQ may require renewed acceptance whenever these Terms, the Report format, the disclaimers, the Privacy Policy, or the feature's risk language materially changes.

Bilingual Content; English Version Controls

For user convenience, certain Report labels, values, disclaimers, and related content may be displayed bilingually in English and Spanish. The English-language version of these Terms, disclaimers, labels, and Report content is the controlling and legally operative version. Any Spanish or other-language translation is provided for convenience only. In the event of any conflict, inconsistency, or ambiguity, the English version governs.

Governing Law

These terms are governed by the laws of the State of Texas, United States. Any disputes will be resolved in the courts of Texas.
